  • Draft joint venture agreements, project acquisition documents, option agreements and royalty agreements;

  • Mergers and acquisitions of resource assets;

  • Due diligence investigations into resource assets; and

  • Provide regulatory approval advice.

 

• Due diligence reviews:

  • identify potential issues and provide recommendations;

  • compliance requirements for disclosure documents and verification of disclosure documents (offer document, prospectus);

  • chair and coordinate due diligence committee meetings; and

  • maintain and compile document files, review of material agreements and contracts.

 

• Annual Reporting/AGM Season Advisory

  • assist with the annual reporting requirements; and

  • draft notices of meeting, managing shareholder meetings and producing minutes from those meetings.

 

• Board of Directors Advisory

  • advise on periodic/ad-hoc items for board and committee consideration;

  • draft company secretarial contributions to board and committee papers; and

  • attend board and committee meetings and producing minutes and matters arising from those meetings.
